Regulatory & Compliance

Regulatory questions begin with what a company does, where it operates and how that activity is structured. Millcorn coordinates the legal work with related corporate, tax, finance and operational needs where the matter requires it.

The activity first

The regulatory position starts with what the business actually does.

The same question looks different depending on the activity, the jurisdiction, the structure and what else is already in motion. These are business circumstances, not a list of laws.

  1. Entering a market

An activity being put in place in a jurisdiction where the company does not yet operate.

  2. A new activity

Something the business has not done before, or not in this form.

  3. A change in how the business operates

The same organisation, a different way of carrying on the work.

  4. International expansion

An existing activity taken across a border.

  5. A transaction

Ownership, control or the perimeter of the activity is changing.

  6. A question around existing activity

Something arising from work already being done, not only from a new launch.

The applicable regime

The first legal work is to identify what actually applies.

Different activities can sit under different frameworks. The work is to read the activity, the place, the structure and the people it involves — then to identify the regime that belongs, if any. Obtaining a licence is a separate operating step where that work exists.

  1. Activity

What the company actually does, not the name it uses for it.

  2. Jurisdiction

Where the activity is carried on, and from where it is directed.

  3. Entity

The organisation that holds the activity, and how it is structured.

  4. Counterparties

Who the activity is with — customers, counterparties or the public.

  5. Permission

Whether a permission or filing is required before the activity can proceed.

  6. Obligations

What the applicable regime requires of the business once it is in that position.

Around the business

Obligations sit around the activity — not in a separate file.

Where a regime applies, it may reach how the company is governed, what is filed, how the work is carried on, and what must be recorded. Recurring company administration is a separate operating service.

  1. Governance

How authority is held around an activity that a regime may reach.

  2. Filings

Advice or filings the matter actually requires — coordinated, not treated as a product.

  3. Operations

How the activity is carried on once the position is read.

  4. Records

What must be kept so the position remains readable.

  5. Reporting

What the regime requires to be reported, where that question actually arises.

  6. Relationships

How the activity sits with customers, counterparties or the public.

When the position changes

Regulatory work is not a one-time filing.

The position moves when the business changes what it does, where it does it, how it is held, or when a question arises around work already under way. The legal work is to read that change — not to treat every development as a dispute.

  1. Activity

The business launches, stops or recasts what it does.

  2. Place

The work is taken into another jurisdiction, or directed from another one.

  3. Transaction

A deal changes who holds the activity, or the perimeter around it.

  4. Question

Something arises in an existing position and needs to be read with the rest of the matter.

International business

More than one jurisdiction does not mean one regime.

An international business may sit under more than one framework at once. Regulatory work reads the position in each place that actually matters. Corporate, tax and accounting questions are coordinated with it where they belong. Capability is assessed against the matter — not assumed as universal coverage.

  1. Separate frameworks

What applies in one place is not copied across a border.

  2. Connected disciplines

Tax, the corporate position and the operating records often move with the activity.

  3. Coordinated professional work

Where more than one regime is involved, the work is held as one matter.

How Millcorn helps

Read the activity, then the regulatory work it requires.

You describe the company and what it is trying to do. Millcorn identifies the regulatory questions and holds related disciplines as one matter. Regulated legal work is carried out by appropriately qualified professionals or firms where required.

  5. 05

    Keep the position aligned

The business continues to change. The client relationship stays with Millcorn.

Connected work

One activity. Several disciplines.

Three existing Millcorn patterns show how regulatory work sits with corporate, tax, accounting and business services. These are coordinated matters, not case studies.

US market entry into a regulated activity

A company putting an activity in place in the United States. Regulatory work reads whether a regime applies and what that requires; the entity, tax position and the operating records sit beside it where they belong.

A transaction involving a regulated business

Ownership, control or the perimeter of an activity is changing. Regulatory work reads what that does to the applicable position; the transaction itself, tax and the numbers sit with it.
